It is our great honour and pleasure to welcome in our team JUDr. Eva Dobrohrušková, well respected expert in the field of real estate law and administrative law. Eva has more than thirty years of experience in these areas and was included in rankings of 100 TOP women in the Czech-Slovak legal bussiness.

Within our legal advisory to one of the retail market leaders in the Czech Republic – Albert Česká republika – the team led by Mgr. Ing. Lucie Brejšková among others assisted this client in the process of negotiation and conclusion of a built-to-suit lease agreement with a member of the group of the European industrial real estate developer P3 Logistic Parks.

The working hours account represents a modern way of scheduling work shifts. This scheme is advantageous in particular for large industrial companies, providing them with flexibility and significant savings. Our office has ensured the implementation of this system in the Czech branch of an Austrian manufacturer of household goods. We have prepared complete legal documentation for the client and ensured a smooth implementation of the system into his production practice. On behalf of the office, this project was managed by Mgr. Jiří Salač, LL.M. and JUDr. Michal Dvořák.

We provide to our client, a Swiss investment group engaged in construction and property management throughout Europe, legal advice related to the realization of a real estate project with a total area of 5,000 sqm in Prague 2, which will be operated to provide medium-term housing for professionals and students. The advisory provided by the team led by JUDr. Tomáš Opletal and JUDr. Michal Dvořák consisted at first of execution of due diligence and negotiation of transfer documentation regarding the acquisition of buildings for the project, and continues with representation of the client in all matters related to the development of these premises.

Peakside Capital has completed the sale of its retail portfolio in the Czech Republic. Congratulations to our client – the investment company Peakside Capital – on completing the several-year process of the sale of its retail real estate portfolio in the Czech Republic. Since 2015, the properties with GLA of approximately 177,000 sqm were sold via 38 transactions with a total value of over EUR 90 million. It was a pleasure to the team led by Mgr. Ing. Lucie Brejšková to cooperate with Peakside Capital on a number of these transactions.

Our office provides lectures on patent law and industrial property law for the Czech Technical University in Prague (CVUT). Their content is the practical application of patent law with focus on the protection of inventors’ rights, industrial property contracts, employee inventions and legal disputes related thereto. The lectures are based on our long-term experience in the field of IT & IP law. The lectures are on behalf of the office provided by Mgr. Jiří Salač, LL.M.

Our office has represented a development company which is a member of a leading Central European banking group in negotiating the conditions for the sale of retail space with an area of several thousand square meters for the purpose of establishing and operating a supermarket in a newly built multifunctional building in Prague. The purchaser was a foreign retail chain operating on the Czech market. The legal advice has been provided by the team composed of JUDr. Tomáš Opletal, Mgr. Ing. Lucie Brejšková and JUDr. Michal Dvořák.

The team led by partner JUDr. Tomáš Opletal and attorney JUDr. Michal Dvořák has provided legal advice to a leading Czech bank on the sale of an office building in Vinohrady, Prague. The transaction was concluded in the summer of 2020 and the price of the transaction has not been disclosed. Our office has provided legal advice on negotiation of the transaction documentation, which included a lease agreement for the future use of the building by the seller, and execution of the transaction and subsequent steps.

Establishment of the branch office in Moravian-Silesian Region. We consider further development of our law firm as one of our priorities. We decided to respond to the constantly growing demand for top-tier legal services also outside of the Prague market, by establishing a branch in the Moravian-Silesian Region, led by our colleague JUDr. Michal Vítek, Ph.D., attorney-at-law. We will be permanently at your disposal at Masarykova třída 39 in Opava.

Merger. As a result of a long-term successful cooperation of OHB and Salač Legal, both law firms have been merged. From now on, we will operate under the new name OHBS. We are creating a strong team composed of experienced and specialized lawyers providing legal services in all areas of law. We will continue to focus on professional and effective legal advice for the corporate sector and entrepreneurs, a significant part of our clientele being foreign entities. We believe that our clients will be the main beneficiaries of the merger.

On 12 March 2020, the Government of the Czech Republic declared a state of emergency in connection with the threat of COVID-19. There are crisis measures being issued which have a fundamental impact on the functioning of citizens and businesses. Given the rapidly changing situation, we advise our clients and help them to orient quickly in the recent regulations and their application in the specific situations. We recommend them further steps to minimize the damages in relation to COVID-19. We also assist our clients in utilising new forms of the state support for businesses. Interested parties can contact our attorneys at any time. They permanently monitor and assess the situation and keep track of all relevant changes.

New premises. As from 1 March 2020, you will find us at our new address: Dlouhá street 714/36. Our premises are situated at the crossroad of the Dlouhá and Rybná streets, on the first floor of the so-called Wohanka house, an Art Nouveau style building which have traditionally served as a representative and commercial residence. We believe that our new premises will provide pleasant and representative environment for meetings with our clients and for realization of their transactions.

We provide legal advice to a major Czech development company in relation to a construction and sale of a large retail park in Hradec Králové (with overall planned size of around 130.000 sqm). The team lead by Lucie Brejšková and Tomáš Opletal assists in the negotiations with future buyers, prepares the complete transactional documentation and provide the client with a complex legal support throughout the whole process of the development of the retail park.

In the March edition of the journal ‘Práce a mzda‘ focused on employment law issues, our article called ‘Monitoring of employees and the right to the protection of privacy’ was published. The authors Jiří Salač and Michal Dvořák focused on the recent topic of the limits of the protection of employees‘ privacy at the workplace and on its impact on the business sphere. In the article we summarized the recent decisions of the European Court of Human Rights and the actual practise of the Czech Office of Personal Data Protection in relation to the application of the European General Data Protection Regulation (GDPR).

Lucie Brejšková continues to provide mentoringto the members of the management of leading Scandinavian companies acting on the Czech market within the Mentoring Exchange project orgnanized by the Nordic Chamber of Commerce.

We achieved a significant success in an international commercial dispute. Michal Vítek, who led the representation of a major German company, achieved the rejection of the claim. The success was based on a procedural defence based on arguments in the field of international procedural law, which is the area of his long-term specialization.

German public service television ZDF asked us for an expert statement in relation to certain aspects of Czech law. Jiří Salač, who focuses on legal advice for German-speaking clients, was interviewed for the news broadcast on the Czech companies doing business in Germany and answered several questions related to commercial and trade law. We achieved a major success at the Arbitration Courtattached to the Economic Chamber of the Czech Republic and Agricultural Chamber of the Czech Republic. Jiří Salač, who led the representation of a major Austrian concern in this arbitration, achieved the rejection of the claim and the full victory of our client. The dispute in the value of tens of millions of CZK related to construction of a shopping centre and the claim arising from commercial contracts.

We provided legal advice to a foreign private equity fundon the acquisition of a commercial property in Brno (11,000 sqm). The team led by Lucie Brejšková assisted in the structuring of the transaction, conducted a due diligence and provided a complex legal support throughout the whole transaction from the perspective of Czech law. We provide legal advice on refinancing of a major multinational pharmaceutical group specializing in parallel imports and generics. In this multinational transaction, our office forms part of an international team of lawyers and is responsible for all Czech legal aspects of the project, including preparation of contractual documentation and registration in public registries. Jiří Salač and Michal Dvořák were involved in the transaction.

In the September edition of the journal ‚Práce a mzda‘ focused on employment law issues, our article called „Non-competition clause in practice“ was published. The authors Jiří Salač and Michal Dvořák discuss the actual topic of non-competition clauses in the employment contracts. They react to the current development of the Constitutional Court’s case-law and summarize the recommendations for the business practise.
